General Terms and Conditions (GTC) of Afreu Mechatronics GmbH

§ 1 Definitions

  • Contractor: refers to Afreu Mechatronics GmbH, including all employees, subcontractors, and partner companies providing services or delivering products.
  • Client / Customer: refers to the company ordering services or products from the Contractor.
  • Service / Delivery: includes development, manufacturing, delivery, assembly, or other services provided by the Contractor.
  • Supplier: refers to the third-party company providing the components or materials required for the service.

§ 2 Scope

  • These GTC apply exclusively to business relationships between companies (B2B).
  • Deviating terms of the Client are only recognized if the Contractor expressly agrees in writing.

§ 3 Conclusion of Contract

  • The contract is considered concluded once the service is fully rendered and the ordered parts are fully delivered.
  • Changes or additions must be in writing.

§ 4 Scope of Services & Delivery Conditions

  • Delivery is carried out using the drop-shipping method.
  • The Supplier assumes full responsibility for complete delivery until the customer is satisfied.
  • Damages or defects are remedied by resending components or refunding.
  • Additional services not included in the offer are charged separately.

§ 5 Prices & Payment Terms

  • Prices are based on the offer and order confirmation.
  • The Supplier receives full payment only after the order is completely delivered.
  • In case of late payment, statutory regulations on default interest apply.

§ 6 Customer Cooperation Obligations

  • The Client is obliged to provide accurate specifications, drawings, and requirements.
  • Errors discovered after production start are the responsibility of the Client.
  • Customers may communicate with or visit the Supplier regarding development or quality issues only after the service has been fully handled by Afreu and 24 months after delivery.

§ 7 Warranty

  • The Contractor guarantees that services comply with essential specifications.
  • Defects must be reported immediately in writing.
  • The Contractor provides remediation or replacement.
  • Further claims are limited to intent and gross negligence.

§ 8 Liability

  • The Contractor's liability for slight negligence is limited to cardinal obligations and typical, foreseeable damages.
  • Liability for lost profits, production downtime, or indirect damages is excluded, as far as legally permissible.
  • Personal injuries remain unaffected.

§ 9 Retention of Title

  • Delivered goods remain the property of the Contractor until full payment is made.
  • The Client must handle and insure the goods under retention of title with care.

§ 10 Confidentiality

  • The Contractor undertakes to protect all customer data, development information, drawings, images, and other confidential information.
  • Confidential information may only be used to fulfill the contract.

§ 11 Term / Termination

  • Project orders end with full service delivery.
  • Ongoing contracts can be terminated with 3 months' notice unless otherwise agreed.
  • The right to terminate without notice for good cause remains unaffected.

§ 12 Data Protection

  • The Contractor processes personal data in accordance with the GDPR as part of contract execution.
  • Customer information is treated strictly confidential.

§ 13 Final Provisions

  • German law applies.
  • Place of jurisdiction, as far as legally permissible, is the seat of Afreu Mechatronics GmbH.
  • If individual provisions are invalid, the validity of the remaining provisions remains unaffected.
  • Changes or additions to these GTC must be in writing.
